SOLIANIQ – TERMS OF USE

1. Acceptance of Terms Back to top

1.1 These Terms of Use (“Terms”) govern access to and use of the SolianIQ Inc. (“SolianIQ,” “we,” “us,” “our”) platform, website, analytical systems, reports, and related services (collectively, the “Platform” or “Services”).

1.2 By accessing, creating an account on, or using the Platform or any Services, you agree to be bound by these Terms.

1.3 If you do not agree to these Terms, you must not access or use the Platform.

1.4 If you access the Platform on behalf of an organization, you represent that you have authority to bind that organization.

2. Modification of Terms Back to top

2.1 SolianIQ reserves the right to modify these Terms at any time.

2.2 Material changes will be posted on the Platform.

2.3 Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.

3. Description and Purpose of the Service Back to top

3.1 SolianIQ provides measurement-based structural and biomechanical risk intelligence derived from equine imagery, video, and related user-provided inputs.

3.2 Reports support professional due diligence, including purchase evaluation, portfolio review, training and racing assessment, insurance underwriting, and breeding analysis.

3.3 SolianIQ does not provide veterinary, medical, clinical, legal, financial, or investment advice.

3.4 SolianIQ does not provide buy/sell recommendations.

3.5 The Services supplement—but do not replace—professional judgment.

4. Definitions Back to top

4.1 “Service” – SolianIQ analytical platform and infrastructure.

4.2 “Compounded Analysis” – Interaction of deviations and load concentration.

4.3 “Deviation Summary” – Representation of deviations from Reference Ranges.

4.4 “Reference Ranges” – Proprietary comparative analytical ranges.

4.5 “Report” – Proprietary analytical output, including reports, analytics, scores, indices, and measurements.

4.6 “Structural Geometry” – Externally measurable anatomical relationships.

4.7 “Structural Risk Intelligence” – Measurement-based analytical outputs.

4.8 “Suitable Input” – Inputs meeting technical requirements.

4.9 “Surface Risk Signals” – Measurable structural warning indicators.

4.10 “User” – Any individual or entity using the Services.

4.11 “User Inputs” – All images, videos, and information submitted by a User, including but not limited to age, sex, classification, declared use, descriptive information, or other data entered during submission.

5. Account Registration and Access Back to top

5.1 Users may be required to create a verified account to access certain Services.

5.2 Users agree to provide accurate information, maintain current account data, and protect account credentials.

5.3 Users are responsible for all activity that occurs under their account.

5.4 Additional verification may be required for certain features or Services.

6. Disclaimer of Warranties; AI Output; Limitation of Liability Back to top

6.1 No Warranties

The Platform and all reports, analytics, scores, indices, measurements, and other outputs (collectively, “Reports”) are provided on an “as-is” and “as-available” basis. SolianIQ Inc. makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, timeliness, or availability of the Platform or any Report.

To the fullest extent permitted by law, SolianIQ disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and title.

6.2 AI-Generated Outputs; Model Limitations

Reports are generated using automated computational models, computer vision systems, statistical frameworks, and AI-assisted processes. Such systems may contain errors, limitations, biases, or inaccuracies.

SolianIQ reserves the right to update, modify, or improve its models, methodologies, indices, and scoring frameworks at any time without notice.

6.3 Point-in-Time Analysis

Reports reflect observable structural and biomechanical characteristics solely from the specific images or video submitted by the user and as captured at the time such media were recorded.

Reports do not account for subsequent growth, maturation, conditioning, training effects, hoof trimming or shoeing changes, injury, veterinary intervention, management practices, or other developments occurring before or after the capture of submitted media.

Structural configuration and biomechanical expression may evolve over time. Users are responsible for obtaining updated analysis when material changes occur.

6.4 User Responsibility for Submitted Media

Users are responsible for submitting accurate, current, and representative images or video for analysis.

SolianIQ’s Reports are generated exclusively from the submitted media. SolianIQ is not responsible for inaccuracies, limitations, or distortions resulting from outdated, incomplete, altered, staged, low-quality, or unrepresentative media.

SolianIQ may indicate when input quality materially limits analytical reliability, but bears no obligation to detect all such limitations.

6.5 No Prediction; No Clinical or Financial Advice

SolianIQ does not:

Reports are professional decision-support inputs only. SolianIQ evaluates structural configuration and load distribution characteristics, including structural intelligence relevant to breeding where applicable. All purchasing, breeding, insurance, training, and management decisions remain solely the responsibility of the user.

6.6 Limitation of Liability

To the fullest extent permitted by law, SolianIQ, its officers, directors, employees, affiliates, contractors, licensors, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or lost profit damages arising out of or related to:

In no event shall SolianIQ’s total cumulative liability exceed the amount paid by the user to SolianIQ in the twelve (12) months preceding the event giving rise to the claim.

6.7 Allocation of Risk

Users acknowledge that the bloodstock industry involves inherent financial and performance risk. SolianIQ provides structural and biomechanical intelligence as one analytical input among many. Users assume full responsibility for all decisions and outcomes arising from reliance on Reports.

7. Nature of the Analysis Back to top

7.1 The Services analyze structural geometry using automated systems.

7.2 Outputs indicate relative structural exposure based on observable geometry, not certainty.

8. Methodology Assurance and Governance Back to top

8.1 SolianIQ operates under a measurement-first analytical framework.

8.2 Systems are subject to controlled governance and versioning.

8.3 No outcome guarantees are made.

9. User Inputs and Data Reliance Back to top

9.1 SolianIQ generates Reports exclusively from User Inputs.

9.2 SolianIQ does not independently verify the identity of any horse, confirm when media was captured, authenticate ownership, or validate the accuracy, completeness, or truthfulness of User Inputs.

9.3 The accuracy, contextual relevance, and interpretive outputs of any Report depend entirely on the correctness and completeness of the User Inputs provided.

9.4 SolianIQ assumes no responsibility or liability for errors, omissions, or inaccuracies resulting from incorrect, incomplete, outdated, mislabeled, or misrepresented User Inputs.

9.5 Users are solely responsible for ensuring that submitted media and information are accurate prior to confirmation of submission.

10. Automated and AI-Assisted Processing Back to top

10.1 The Services utilize automated and AI-assisted processing.

10.2 AI-assisted processing does not eliminate uncertainty.

10.3 No infallibility or predictive certainty is represented.

10.4 SolianIQ may apply automated technical preprocessing procedures to User Inputs for analytical purposes, including resizing, normalization, frame extraction, resolution standardization, or other computational adjustments necessary to standardize inputs for analysis. These procedures do not alter the underlying visual content of submitted media.

10.5 Once a submission has been confirmed and processing has begun, User Inputs cannot be edited, replaced, or modified by the User. Reports are generated from the confirmed User Inputs and cannot be revised due to user submission error.

11. Computational Measurement Methodology; Dimensional Policy; and System Limitations Back to top

11.1 Measurement Basis. Unless expressly stated otherwise, SolianIQ’s measurements and derived outputs are computed from user-submitted two-dimensional (2D) still images. Any future video-enabled workflows may incorporate multi-frame inference and/or three-dimensional (3D) estimation techniques, but such capabilities (if offered) remain non-clinical and are subject to the same limitations described in these Terms.

11.2 Units and Publication Policy. Angles, slopes, and rotational offsets may be displayed in degrees (°). Linear measurements computed from images originate in pixel-space and may be normalized (ratio-based) to enable comparison across images. SolianIQ may optionally provide approximate unit conversions (e.g., inches or centimeters) only when a calibration method is available and validated for the specific workflow; otherwise, SolianIQ will not represent pixel distances as real-world physical dimensions.

11.3 Technical Limitations. Outputs are influenced by pose, perspective distortion, occlusion, lighting, background clutter, camera lens characteristics, and keypoint detection uncertainty. SolianIQ may suppress, omit, or qualify measurements that fail internal reliability checks.

11.4 No Physical Measurement; No Clinical Interpretation. SolianIQ does not perform on-site measurement, imaging, or physical examination. Measurements and classifications are computational geometry outputs intended for structural risk intelligence and decision-support—not veterinary diagnosis, medical advice, or clinical evaluation.

12. Partial and Incomplete Outputs Back to top

12.1 Partial outputs may occur if inputs are limited.

12.2 Only measurements meeting internal reliability thresholds are reported.

12.3 Limited or null outputs may result.

13. Consistency and Auditability Back to top

13.1 Analytical processes are designed to be reproducible.

13.2 User Inputs may receive unique identifiers for audit and tracking purposes.

14. Fees and Refunds Back to top

14.1 Fees are disclosed prior to purchase.

14.2 Payments are processed by third-party payment providers.

14.3 SolianIQ may, at its sole discretion, issue refunds in limited circumstances where outputs are materially incomplete due to system error.

14.4 Except as expressly provided in Section 15.3, all fees are non-refundable once processing has commenced. Submission errors, including incorrect media or information entered by the User, do not entitle the User to a refund.

15. Intellectual Property and Trade Secrets Back to top

15.1 All systems, methodologies, frameworks, measurement logic, algorithms, scoring indices, reports, and related materials are proprietary.

15.2 Certain components constitute trade secrets.

15.3 Users receive a limited, non-exclusive, non-transferable license for internal use only.

15.4 No ownership rights are transferred.

15.5 All Platform content is protected by U.S. and international copyright laws.

15.6 SolianIQ respects intellectual property rights and will respond to valid infringement notices.

16. Use Restrictions Back to top

17.1 Reports are not intended for exclusive reliance.

17.2 Independent evaluation is required.

17.3 Reports are one analytical input among many in decision-making.

18.1 Users agree to indemnify and hold harmless SolianIQ from claims arising from:

19. Termination and Suspension Back to top

19.1 SolianIQ may suspend or terminate access for violation of these Terms.

19.2 Payment obligations survive termination.

19.3 The following Sections survive termination: 6, 9, 10, 14, 15, 17, 18, 21, 22, and 23.

20. Privacy Back to top

Use of the Platform is subject to the SolianIQ Privacy Policy.

21. Dispute Resolution (Mediation and Arbitration) Back to top

21.1 Parties shall first attempt good-faith resolution.

21.2 Unresolved disputes shall be submitted to non-binding mediation administered by the American Arbitration Association (“AAA”).

21.3 If mediation fails, disputes shall be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules.

21.4 Arbitration shall be conducted by one neutral arbitrator.

21.5 Proceedings shall occur in New York County, New York, unless otherwise agreed in writing by the parties.

21.6 Class and representative actions are waived.

21.7 SolianIQ may seek injunctive relief for intellectual property protection.

22. Governing Law and Venue Back to top

These Terms are governed by the laws of the State of New York, USA.

Exclusive venue (where permitted) for any court proceedings shall be New York County, New York.

23. Entire Agreement Back to top

These Terms constitute the entire agreement between the parties concerning the Platform and Services.
